CONDIZIONI DI VENDITA GENERALI

IMBALLO E TRASPORTO: Gli imballaggi vengono fatturati a parte al prezzo di vendita e non si accettano di ritorno.
PREZZI: Sono fissati resa merce Franco Fabbrica.
SPEDIZIONI: Le spedizioni sono eseguite senza eccezioni a rischio e pericolo del committente. Salvo disposizioni particolari del cliente, le spedizioni
verranno effettuate con il mezzo che si riterrà più conveniente, ma senza alcuna responsabilità. In caso di ritardo, avaria o perdita durante il trasporto, ogni
azione contro il vettore dovrà essere espletata da parte del committente.
CONSEGNA: I termini di consegna sono approssimativi e, salvo imprevisti, il ritardo nelle spe dizioni, da qualunque causa sia provocato, non da il diritto a
reclamare qualsiasi indennizzo. Ci riserviamo di evadere gli ordini in diverse riprese salvo specifica richiesta contraria.
PAGAMENTI: Il pagamento delle fatture deve essere fatto a noi direttamente. Non si accettano trattenute o arrotondamenti. Eventuali sconti per pagamen-
ti a ricevimento fattura vengono calcolati sull’importo nello della merce, esclusi imballo, spese di traspor to o postali e IVA. Trascorsi 15 gg dalla data fattura
o dal periodo contemplato al pagamento, si ritiene revocato questo beneficio e pertanto la rimessa verrà effettuata per il totale della fattura. Sui ritardati
pagamenti non si computano gli interessi bancari e spese accessorie.
GARANZIA MACCHINE: I nostri prodotti sono garantiti da ogni imperfezione visibile o deficienza di funzio nalità per la durata di 12 mesi. La notifica dovrà
venirci inoltrata in forma scritta e contenere la descrizione degli elementi non conformi agli standard qualitativi. La notifica dei danni visibili dovrà inoltre
esserci inoltrata in forma scritta ENTRO 7 GIORNI dalla data di consegna. Gli interventi dei nostri tecnici devono essere richiesti in forma scritta. Tutte le
prestazioni effettuate dal nostro personale tec nico, anche se trattasi di materiale in garanzia, sono gratuite solo presso i nostri stabilimenti di Isola Vicentina.
Misure e pesi non sono impegnativi. Ci riserviamo il diritto di apportare migliorie e modifiche senza preavviso, anche in fase di or dinazione. Gli inconvenienti
determinati da incuria, errata utilizzazione, utilizzo di utensili non originali o manomissione sono esclusi dalla garanzia, mentre si decli na la responsabilità per
danni diretti o indiretti. Sono escluse dalla garanzia tutte le parti soggette ad usura normale ed il materiale elettrico. Il materiale inviatoci per la riparazione
o sostituzione deve pervenirci in porto franco.
GARANZIA PARTI DI RICAMBIO: La notifica delle imperfezioni visibili dovrà esserci inoltrata in forma scritta ENTRO 7 GIORNI dalla data di consegna e
contenere la descrizione degli elementi non conformi agli standard qualitativi. Le parti difettose dovranno esserci restituite in porto franco. La sostituzione
gratuita verrà effettuata in caso di difetto comprova to. In caso di spedizione di ricambi errati, questi potranno esserci restituiti previa nostra autorizzazione.
LEGGE APPLICABILE E GIURISPRUDENZA: Le nostre condizioni di vendita sono regolate dalla Legge Italiana. Per qualsia si controversia o per la riso-
luzione di tutte le contestazioni relative alle presenti condizioni, si riconosce l’esclusiva competenza del Foro Giudiziario di Vicenza.

GENERAL SALES TERMS

PACKING AND TRANSPORT: The cost of packing is included in the price of the machine. No refund is given.
PRICES: Prices are established on “Ex Factory” basis.
SHIPMENTS: Shipments are made without exception at the risk and peril of the buyer. Unless special instructions of the buyer, shipments are made
through the most conve nient means without liability on our part. In case of delay, loss or demage during transportation, every action against the shipping
company must be taken by the buyer.
DELIVERY: Delivery times are approximate, circumstances permitting. Delay in shipment by any reason whatsoever, does not entitle the buyer to indemi-
nities. We reserve the right to carry out partial shipments.
PAYMENTS: Payment of invoices must be made to Sthemma directly. No deductions or chan ges will be accepted. Discount for cash payment, where
specifically provided in the offer, is calculated on the net value of the goods, packing and transport costs excepted. Discount is revoked 15 days after
the invoice date and therefore the remittance is effected for the total amount of the invoice. Bank interest rates and any extra expenses are charged on
delayed payments.
WARRANTY Machines: Our machines are guaranteed for 12 months against any performance deficien cy or unseen damages. The warranty is limited to
the repair or replacement of defective items and does not apply to products which have been improperly installed or operated, damaged due to misuse or
accident or altered or repaired in an unauthorized manner.
The notification shall be made in written form and contain the description of non correspondence to quality standards.
The notification of seen damages shall be made in written form within 7 days from the delivery date.
All performaces effected by our technical staff must be requested by letter and even if the machines are still under guarantee, are free of charge at Isola
Vicentina plant only. Dimensions and weights are not binding. We reserve the right to perform improvements or modifications without any prior notice
during the execution of the order.
WARRANTY Spareparts: Warranty is limited to the repair or replacement of defective items and does not apply to products which have been improperly
installed or operated, dama ged due to misuse or accident or altered or repaired in an unauthorized manner.
The notification of seen damages shall be made in written form within 7 days from the delivery date and shall contain the description of non correspon-
dence to qua lity standards. Faulty parts must be returned to us on carriage paid basis. Free of charge replacement will be made if a fault is found by our
suppliers. No credit note will be issued. In case of shipment of incorrect parts, the same must be sent back to us after our authorization. No credit note
will be issued.
APPLICABLE LAW and JURISDICTION: Sthemma sales terms and conditions are governed by the Laws of Italy. For any controversy or dispute the
competent Law Courts is Vicenza and this shall have exclusive jurisdiction in any action arising out of or in connection with the present sale terms and
conditions.
